How will you make an impact?

The Corporate Counsel will be a key member of the legal entities management function. This role provides internal legal support and project management of a broad range of internal transactions involving our large portfolio of global subsidiaries, including subsidiary formations, capital changes, dividend payments, reorganizations, and dissolutions.

The role will report to the Senior Director, Corporate and Securities Counsel and will work with other members of the legal entities team. The candidate will also partner collaboratively with other functions, including corporate tax, local tax and local finance. The role is based in our corporate headquarters in Waltham, MA.

What will you do?

  • Draft legal documents for a variety of corporate transactions and manage outside counsel for multi-jurisdictional projects

  • Serve as project manager to coordinate all legal aspects of internal corporate transactions, including:

  • Leading bi-weekly advisory calls to communicate with legal entity managers of upcoming projects, status, and action items

  • Serving as a communication link between corporate tax, local tax and finance, local service providers and legal entities management staff

  • Working with legal entity managers to (i) advise them of corporate secretarial action items, scheduling/needs for upcoming transactions, and governance requirements following transactions, and (ii) coordinate legal support for corporate transaction projects with legal service providers

We are looking for:

Education/Experience

  • JD from an accredited law school and a member in good standing with the bar

  • Licensed to practice law in the U.S.

  • 5+ years target legal experience

  • Understanding of corporate governance requirements in various jurisdictions

Skills/Abilities

  • Experience working on corporate transactions; experience working with legal entities management team is preferred

  • Excellent work ethic, strong drafting and project management and coordination skills

  • Outstanding written communication skills

  • Strong sense of ethics and integrity

  • Self-motivated and ability to work independently

  • Effective interpersonal and analytical skills

  • Strong team building skills working with a diverse group of partners

  • Attention to detail to ensure completeness and accuracy of work within established timelines

  • Collaborative style with a proven ability to work within a fast-paced matrixed environment to influence outcomes and motivate change

  • Flexible with an ability to optimally work across time zones
